Tender Overview

249Startups is seeking a legal partner to act as a critical safeguard for its investment and support programs. The selected firm will provide comprehensive risk intelligence and legal de-risking services for a portfolio of Sudanese SMEs operating in a challenging commercial environment. The role is essential for identifying and mitigating legal risks, verifying the legal standing of businesses affected by conflict, and preparing these SMEs for investment by ensuring their bankability.

Scope of Work Summary

The selected firm will conduct a comprehensive legal due diligence process for a list of companies. Key responsibilities include:

  • Corporate Structure Review: Analyze share capital, articles of association, shareholder agreements, and holdings in other businesses.
  • Compliance and Litigation: Verify all operational licenses, authorizations, and consents, and report any current, pending, or threatened litigation.
  • Financial Integrity Support: Review the legal aspects of financing facilities, grants, loans, guarantees, and any security over company assets.
  • Deliverables: Produce comprehensive due diligence reports for each company, identify all legal risks and liabilities, and provide actionable recommendations for mitigation.

Eligibility Criteria

Interested firms must meet the following criteria:

  • Must be accredited by the Sudan Bar Association, Africa Legal Network (ALN), or an equivalent body, and possess a valid license to operate in Sudan.
  • Proven experience in legal due diligence for SMEs is essential, with a minimum of 3 years of legal practice. Experience in post-conflict or developing economies is preferred.
  • The firm must have been registered on or before 2022.
  • The team must include at least one senior lawyer with a minimum of 5 years of experience in SME due diligence.
  • Must provide at least three references from previous clients confirming the quality of services rendered.

How to Apply

Interested firms are required to submit an Expression of Interest (EOI), a detailed technical proposal, and a financial proposal. All documents must be submitted electronically to Procurement@249Startups.com by 6:00 PM (Sudan time) on October 9, 2025.
