UAE-Based Alea Health Acquired by Canadian Healthtech Firm Rocket Doctor AI

UAE-based Alea Health Holdings, a company specializing in AI-driven digital mental health platforms, has been acquired by Rocket Doctor AI, a Canadian digital health and remote care solutions provider. The definitive agreement will see the Canadian firm acquire 100% of the issued and outstanding securities of Alea Health.

The acquisition marks a significant strategic entry for Rocket Doctor AI into the Middle East, leveraging Alea Health’s established presence in the UAE as a gateway to the broader Gulf Cooperation Council (GCC) region.

Deal Structure and Financials

Under the terms of the agreement, Rocket Doctor AI will provide a consideration package that includes a cash payment of US$15,000, which has already been paid.

Additionally, Rocket Doctor AI will issue 285,712 common shares at a deemed value of CAD$0.70 per share. The company has also agreed to assume and settle Alea’s obligations under a Simple Agreement for Future Equity (SAFE) note, paying the US$180,000 principal balance in monthly installments of US$22,500 until fully paid.

The transaction is subject to standard closing conditions, including obtaining all necessary regulatory approvals from bodies such as the Canadian Securities Exchange (CSE).

A Strategic Gateway to MENA

A key driver for the acquisition is the opportunity for Rocket Doctor AI to establish a strong foothold in the rapidly growing GCC market. The region is projected to invest up to $170 billion by 2030 in its AI-driven healthcare revolution, presenting a substantial market for advanced healthtech solutions.

Alea Health’s existing operations and pipeline in the UAE provide Rocket Doctor AI with its first major investment in this high-growth market, enabling the company to build local relationships and capitalize on the region’s focus on modernizing healthcare delivery.

Integrating AI for Mental Healthcare

The deal combines the technological strengths of both companies. Alea Health has developed a proprietary online therapy platform that uses conversational AI and voice technology to optimize patient intake, provide follow-ups, and offer continuous support through a 24/7 AI-powered mental health coach.

This technology will be integrated with Rocket Doctor AI’s Global Library of Medicine (GLM), a clinically validated decision support system. The synergy aims to create a unified healthcare solution that expands the GLM’s mental health capabilities and strengthens the push for conversational AI in healthcare.
