Raya Holding has approved funding of up to $60 million to support the proposed acquisition of 100% of the equity interests in an Egyptian data center facility. The acquisition has not yet been completed.
Raya Integration, a wholly owned portfolio company of Raya Holding for Financial Investments, will fund the equity portion through a capital increase in Raya Data Center. The approved amount is equivalent to up to EGP 3 billion, based on the exchange rate on each payment date.
The capital increase may be completed in one or more tranches, in US dollars, Egyptian pounds or a combination of both. Total funding cannot exceed the approved $60 million limit, and the proceeds will be used exclusively for the proposed acquisition.
The board approved the resolution on September 23, 2026. The funding remains conditional on Raya Integration and/or Raya Data Center being awarded the acquisition, completing definitive transaction documents and securing the required internal, regulatory and other approvals.
If the transaction does not proceed, the approval will not create a funding obligation for Raya Holding, Raya Integration or Raya Data Center unless the board decides otherwise. The target facility and proposed purchase price have not been disclosed.
