Saudi Investment Bank to Sell 50% Stake in American Express Saudi Arabia for SAR 1.43B

The Saudi Investment Bank (SAIB) has agreed to sell its entire 50% stake in American Express Saudi Arabia to American Express (Middle East) for SAR 1.43B, or about $381.36M.

The consideration will be paid in cash when the transaction closes, alongside a deferred payment calculated under the companies’ shareholders’ agreement. The deal remains subject to regulatory approvals and other contractual conditions.

SAIB said it expects to record a capital gain of about SAR 792.41M. The estimate is based on the stake’s book value of approximately SAR 637.7M as of November 2025 and excludes any deferred consideration linked to distributable profits generated before completion.

The bank said the proceeds will support its financial position and strategic direction. The sale’s financial impact will be reflected in the reporting period when the transaction is completed, while deferred proceeds will be recognized when received.

American Express Saudi Arabia reported revenue of SAR 644.29M and net profit of about SAR 151.97M in 2025. The company issues credit cards, provides corporate payment solutions and processes commercial transactions in Saudi Arabia.

The transaction will give American Express (Middle East) full ownership of the Saudi business once all legal and regulatory requirements are met.
