Tapping Private Capital to Fuel Vision 2030
According to sources, ROSHN has brought in JPMorgan to manage the fundraising process, testing the appetite of private investors for a stake in the stadium. This initiative is part of a larger trend where Saudi public entities are looking to external capital to fund major tourism, logistics, and sports projects designed to diversify the economy away from oil revenue.
The Kingdom is preparing to build or renovate 15 stadiums for the 2034 World Cup. However, overspending and lower-than-expected oil prices have put pressure on state finances, prompting a strategic shift towards private investment to help deliver flagship projects. This follows other significant sports asset deals, including Kingdom Holding Company’s acquisition of a 70% stake in Al Hilal football club from the PIF.
Inside the Lease-Back Deal Structure
The transaction for the Aramco Stadium is expected to use a lease and leaseback model. Under this structure, ROSHN would create a special vehicle to control the stadium’s leasehold, which it would co-own with new investors. These investors would provide upfront funds in exchange for a long-term income stream derived from a share of lease payments made by the stadium’s operator, Saudi Aramco.
This financial model mirrors previous infrastructure deals by Aramco for its oil and gas pipeline assets, which successfully attracted major global investors. For ROSHN, the deal would inject fresh funding into the project and free up its own capital to be deployed across other strategic initiatives. The Aramco Stadium is slated for completion by the end of this year, with its first game scheduled for January.
